Die Theorie des Transnationalen Unternehmens aus rechtlicher Perspektive
In der juristischen Literatur finden sich zahlreiche Beiträge, die sich mit Folgeproblemen des Phänomens transnationaler Unternehmen auseinandersetzen. Es mangelt jedoch an Beiträgen, die die Grundlagen, also die internen Steuerungsmechanismen und Entscheidungsstrukturen transnationaler Unternehmen thematisieren. Um einen ersten Schritt auf diesem in Zukunft vertieft zu erschließenden Forschungsgebiet zu tun, wird in diesem Arbeitspapier die institutionenökonomische Theorie des Unternehmens an den juristischen Diskurs gekoppelt. Einleitend wird der kontrovers diskutierten Frage nachgegangen, wie transnational transnationale Unternehmen tatsächlich sind, wie illoyal gegenüber und unabhängig von ihren Heimatstaaten sie also agieren. Es wird gezeigt, dass es sich um eine Scheindebatte handelt, da die Antwort von der Definition der Grenzen des Unternehmens gegenüber seiner Außenwelt abhängt. Die Steuerungsmechanismen und Entscheidungsstrukturen transnationaler Unternehmen sind daher sowohl für eigentumsrechtlich verbundene transnationale Konzerne als auch für lediglich auf schuldvertraglichen Bindungen beruhende transnationale Unternehmensnetzwerke zu untersuchen. Dafür wird exemplarisch anhand des deutschen Konzernrechts auf eine normative Analyse zurückgegriffen, die als vorläufiger Schritt durch empirische Studien zu ergänzen sein wird.
