Integrationsprobleme bei internationalen Unternehmenszusammenschlüssen
Starker Wettbewerbsdruck und gesättigte heimische Märkte veranlassen Unternehmen neue Märkte zu erschließen. Jedoch reichen oft die eigenen Ressourcen nicht aus und Unternehmen entschließen sich zu grenzüberschreitenden Unternehmenszusammenschlüssen (Fusionen und Akquisitionen). Die sogenannten Mergers & Acquisitions sind allerdings kein Phänomen der letzten Jahrzehnte, schon vor mehr als 100 Jahren sind Unternehmen verschiedene Partnerschaften eingegangen. Faszinierend ist mit Sicherheit, ihre wellenartige Entwicklung. Grundsätzlich wird in der Literatur von fünf Wellen gesprochen, die aus unterschiedlichen Gründen entstanden. Es existiert eine Vielzahl an Beweggründen für Unternehmen, eine oftmals risikoreiche Transaktion durchzuführen. Die vorliegende Arbeit beschäftigt sich mit Beweggründen für internationale Unternehmenszusammenschlüsse, aber vor allem werden mögliche Integrationsprobleme bei der Zusammenführung zweier Unternehmen im Rahmen einer Fusion oder Akquisiton untersucht. Diese Probleme entstehen in der Integrationsphase, da das Hauptaugenmerk zumeist den Verhandlungen und dem Vertragsabschluss gilt, die Post-Merger-Integration der verschiedenen Unternehmensbereiche jedoch weitgehend vernachlässigt wird. Jedoch gerade in dieser Phase ist ein intensives Integrationsmanagement nötig. Die Hauptschwierigkeiten bestehen in der Verzahnung unterschiedlicher Organisationstrukturen und Unternehmenskulturen. Unternehmen sind jedoch ebenso mit fehlender Führungskompetenz, personellen Widerständen, Inkompatibilität von IT-Systemen, Problemen im Vertrieb, finanziellen und bilanziellen Problemen sowie rechtlichen Problemen konfrontiert. In Folge werden in der Arbeit verschiedene Konzepte zur Vermeidung von Integrationsproblemen vorgestellt, wie das 7 K-Modell von Jansen, das Integrationscontrolling, der Change Management-Ansatz und die kulturelle Due Diligence. Anhand von zwei Fallbeispielen werden Erfolg und Misserfolg bei der Integration dargestellt.
