Les agences de notation financière contre les Etats : une lutte global pour le droit à l'issue incertaine (Credit Rating Agencies against the States: A Still Undecided Global Struggle for Law)

Cet article analyse les agences de notation financière comme des institutions de production de normes globales. En s'appuyant sur l'approche du droit global préconisée par l'Ecole de Bruxelles, l'auteur prétend que la désintermédiation financière a transformé les agences de notation financière en productrices de standards de la bonne gouvernance dans le secteur privé, mais également - et de manière croissante - dans le secteur public. Après avoir examiné les initiatives politiques, législatives et judiciaires adoptées à la suite de la crise économique et financière de 2008, l'auteur considère que celles-ci n'ont pas tant réglé les problèmes soulevés par la notation financière qu'elles n'ont ouvert la voie à une lutte globale pour le droit à l'issue incertaine et dont l'objet est la définition des futurs standards mondiaux de la bonne gouvernance publique et privée. L'article examine quatre scénarios prospectifs, le plus vraisemblable étant que les agences de notation financière sortent finalement renforcées de la crise. Enfin, l'auteur tire de cette analyse de cas des conclusions plus générales sur la manière dont une norme devient globale.This paper examines credit rating agencies as global standard-setting agencies. Elaborating on the Brussels School of Jurisprudence approach to global law, the paper claims that the financial disintermediation has transformed credit rating agencies in good governance global standard-setters not only for the private sector, but also – and increasingly – for the public one. Reviewing political and regulatory actions taken by the European Union and the U.S. in the wake of the economic and financial market crisis of 2008, the paper argues that they do not settle the issue of credit rating but pave the way for a still undecided struggle for law aiming at defining the tomorrow global standard of good public and private governance. The paper highlights four scenarios; the most likely being that credit rating agencies will emerge stronger from the crisis.
