Die neue Börsenrechtsordnung der Schweiz - ein Überblick
Abstract In der Schweiz tritt am 1. Januar 1998 das neue Börsengesetz in seiner integralen Fassung in Kraft. Es ist – einschließlich der Ausführungsverordnung – für den ausländischen Leser nicht nur deshalb von Interesse, weil es sich eng an die eurokapitalmarktrechtlichen Vorgaben hält, sondern da es in mancherlei Belangen auch regulatorische Eigenwege geht. Alles in allem liegt in der Schweiz nunmehr eine kohärente und in sich geschlossene neue (mit dem Bankenrecht abgestimmte) Börsenrechtsordnung vor, welche namentlich die Regelungsbereiche Börsen, Effenktenhändler, Offenlegung von Beteiligungen und öffentliche Kaufangebote betrifft. Der vorliegene Beitrag liefert einen einführenden, aber auch analytischen Überblick über die einschlägigen Rechtsregeln
