Grundformen der Finanzierung. Eine Anwendung des neo-institutionalistischen Ansatzes der Finanzierungstheorie Der Aufsatz versucht zu erklären, warum es überhaupt verschiedene Formen oder Instrumente der Finanzierung gibt und warum die einzelnen Finanzierungsformen ganz bestimmte institutionelle Merkmale aufweisen. Finanzierung ist Partenteilung; die einzelnen Finanzierungsinstrumente legen in ihrer Gesamtheit fest, in welcher Weise die unsicheren zukünftigen Erträge der finanzierten Investitionen auf die Kapitalgeber einer Unternehmung aufgeteilt werden. Damit ist die Funktion von Finanzierungsinstrumenten aber nicht ausreichend erklärt. Jedes Finanzierungsinstrument stellt auch eine spezifische Kombination von Rechten und Handlungsmöglichkeiten der Kapitalgeber dar, die dazu dient, die unerwünschten Folgen der ursprünglich asymmetrischen Informationsverteilung zwischen Kapitalgeber und Kapitalnehmer (Unternehmer) zu überwinden. Vier Kombinationen solcher Rechte und Handlungsmöglichkeiten werden analysiert. Es läßt sich zeigen, daß sie die folgende Eigenschaft besitzen: Jedes Recht und jede Handlungsmöglichkeit nützt Kapitalgebern. Ihre Einräumung oder Schaffung erhöht folglich ihre Bereitschaft zur Kapitalüberlassung, und dadurch nützen sie auch dem Kapitalnehmer. Die Bedeutung der einzelnen Rechte oder Handlungsmöglichkeiten darf nicht isoliert beurteilt werden. Die Vorteile, die Kapitalgebern aus der Einräumung der einzelnen Rechte oder Handlungsmöglichkeiten erwachsen, verstärken sich vielmehr gegenseitig, während die Kosten oder Nachteile, die für den Kapitalnehmer damit verbunden sind, daß er Kapitalgeber mit einzelnen Rechten und Handlungsmöglichkeiten ausstatten muß, sich gegenseitig abschwächen. Die vier Kombinationen von Rechten und Handlungsmöglichkeiten, die in dem Aufsatz konstruiert und diskutiert werden, sind die vier wichtigsten Finanzierungsformen der Realität: Beteiligungsfinanzierung in einer Personengesellschaft und in einer Publikumsaktiengesellschaft sowie kurzfristige Fremdfinanzierung ohne pfandrechtliche Sicherheiten und langfristige pfandrechtlich gesicherte Fremdfinanzierung.
