Impact of Merger-Control Process on Foreign Direct Investment : A Comparative Analysis of India and China
An action of a person can be said to reflect the ideologies one may have regarding a specific topic. The same is applicable to the actions of complex regulatory and trading structures like government and corporations which may incline towards ideologies like capitalism or socialism. Foreign direct investment as a concept is affected by these two ideologies and has remained at the heart of this tumultuous relationship. In order to expand, corporations use mechanisms like ‘mergers’ to spread their legs out of the territorial boundaries and engage in foreign investments. Government enacts competition laws to regulate this realm of investment by forming various regulatory entities which review these mechanisms like ‘mergers’ and the subsequent impact they may have on host economies. The primary objective of this paper will be to analyse the process of ‘merger control’ in the Competition laws of China and India in the limelight of its impact on foreign direct investments. This essay will also highlight the role played by regulatory authorities and will point out certain ‘procedural fairness’ issues in the ‘merger-control’ process adopted by these jurisdictions which are relevant to the study of the relationship between their competition and foreign investment laws
