Lock-up-Periode und Eigenkapitalplatzierung bei Wachstumsunternehmen

Während der Bestandszeit des Neuen Markts war eine temporäre Veräußerungssperre auf Anteile der Alteigentümer obligatorisch zwischen der Deutsche Börse AG und dem jeweiligen Emittenten abzuschließen. Dagegen sieht die US-amerikanische Wachstumsbörse Nasdaq ein freiwilliges Modell dieser Haltefrist vor. Erst mit Einführung des Prime Standards gleicht die deutsche Regelung nun derjenigen der Nasdaq. Negative Kursreaktionen zum Ablauf der Lock-up-Periode beeinträchtigen allerdings die geplante Exitstrategie der Kapitalgeber von jungen börsennotierten Wachstumsunternehmen. Die Autorin identifiziert und diskutiert diesen sog. Lock-up-Konflikt und erweitert den Blickwinkel um ein zusätzliches kursrelevantes Ereignis: spätere Platzierungen von Eigenkapital behindern den Beteiligungsausstieg ebenso. Es resultiert der sog. Platzierungskonflikt. Um die Determinanten der jeweiligen Kursreaktionen zu identifizieren, werden in der vorliegenden Arbeit eigene Hypothesen formuliert, die auf unterschiedlichen Theorieströmungen basieren. Hierdurch ergibt sich ein umfassenderes Bild, da mehrere Effekte und deren Interdependenzen analysiert werden. Anhand bereits bestehender empirischer Literatur erfolgt die Auswertung der Hypothesen, wobei eine vergleichende Sichtweise zwischen dem deutschen und dem US-amerikanischen Kapitalmarkt konsequent beibehalten wird. Die durch die Ursachenforschung gewonnenen Ergebnisse erlauben eine Aufschlüsselung der verschiedenen Einflüsse auf die Aktienkursreaktion und bilden die Basis der Erarbeitung möglicher Lösungskonzepte. Insgesamt wird dabei unterschiedlichen Präferenzen der Beteiligten, die eine Veräußerung oder aber eine Diversifizierung ihres Aktienpakets verfolgen, Rechnung getragen. Die Autorin erarbeitet und bewertet Lösungsmechanismen sowohl für den Lock-up- als auch für den Platzierungskonflikt. Zum Abschluss wird ein neuartiges Finanzierungsinstrument erläutert, das sogar beide Problemsituationen zu lösen vermag
