'Say on Pay'- A Critical Analysis of Shareholder Rights to Determine Executive Compensation in the UK, US, and EU
Say on Pay legislations have become increasingly common over the past few decades, in tandem with more publicity around the compensation that is paid to executives/management of public companies. This publicity has, in turn, been driven largely by disclosure requirements imposed by the regulatory agencies overseeing public companies in various countries. Over time, it has become clear that the priorities of shareholders are often misaligned with those of the managers, with the rapidly rising pay directors and executives pay themselves being one of the most significant pointers of that agency problem. The introduction of Say on Pay provisions in the UK, US, and EU reflects the belief of policymakers that beyond disclosure, shareholders should have a direct influence on the compensation paid to executives.To achieve that goal, the policymakers in the selected jurisdictions have taken markedly different approaches, and this paper seeks to identify what the jurisprudential reasoning for those approaches are and how they have stood up to the test of time in practical application, with a view to preferring suggestions for the optimization of the current Say on Pay frameworks
