Die steuerliche Behandlung der Gewährung von Aktienoptionen an Arbeitnehmer bei grenzüberschreitenden Sachverhalten : dargestellt anhand der Länder Deutschland, Schweiz, Österreich und Belgien
Nicht handelbare reale Aktienoptionen sind ein beliebtes Instrument, um die variable Vergütung von Mitarbeitern mit dem Unternehmenswert zu verbinden. Für die Unternehmensseite existieren unterschiedliche Auffassungen, wie die Verpflichtung aus der Option zu bilanzieren ist. Der individuelle Wert dieser Vergütungskomponente für den begünstigten Mitarbeiter ist unter anderem auch von der Besteuerung abhängig. Da Aktienoptionspläne eine längere Laufzeit aufweisen, stellt sich die Frage nach dem zutreffenden Besteuerungszeitpunkt und damit verbunden nach der Bewertung des Vorteils. Die Vergütung von Mitarbeitern mit Aktienoptionen ist den Einkünften aus nichtselbständiger Tätigkeit zuzurechnen. Es gilt das Zuflussprinzip. Nach der allgemeinen Diskussion über den zutreffenden Besteuerungszeitpunkt und Bewertung der Option werden in der Arbeit zunächst die unterschiedlichen Rechtslagen zur Besteuerung von Aktienoptionen beim Begünstigten in den betrachteten Ländern (Deutschland, Schweiz, Österreich und Belgien) dargestellt. Die Besteuerung in der Schweiz, Österreich und Belgien erweist sich im Fall der tatsächlichen Optionsausübung grundsätzlich vergleichsweise günstiger als in Deutschland. Die differierenden steuerlichen Regelungen sind insbesondere bei grenzüberschreitenden Sachverhalten problematisch. Hauptsächlich durch abweichende Besteuerungszeitpunkte in den betrachteten Ländern ergeben sich bei Wechsel von Tätigkeits- und Wohnort, aber auch bei Grenzgängern sowohl Fälle der Doppelbesteuerung als auch der Nichtbesteuerung der Vergütung. Es werden jeweils konkrete grenzüberschreitende Sachverhalte anhand des spezifischen Doppelbesteuerungsabkommens der beteiligten Staaten beurteilt. Risiken der Doppelbesteuerung werden herausgearbeitet und Gestaltungsempfehlungen zur Vermeidung gegeben. Im Hinblick auf die meist günstigere Besteuerung in der Schweiz, in Österreich und in Belgien kann generell für die Besteuerung von Aktienoptionen bei grenzüberschreitenden Sachverhalten die Empfehlung abgeleitet werden, dass eine Tätigkeitsverlagerung in diese Staaten grundsätzlich sinnvoll ist. Selbst zwischen europäischen Staaten, die vielfältig miteinander verbunden sind, kann häufig aufgrund der unterschiedlichen Steuersysteme keine allgemeingültige Lösung gefunden werden, um eine zutreffende gerechte Besteuerung von Aktienoptionen beim Begünstigten in grenzüberschreitenden Fällen sicherzustellen. Eine Doppel- bzw. Minderbesteuerung ist mit den vorhandenen rechtlichen Möglichkeiten meist nicht zu beseitigen.
