French Abstract: Face à la mobilité croissante des entreprises, les développements de la jurisprudence européenne et les initiatives de la Commission européenne visant à une codification des activités économiques interrogent sur la finalité économique du droit et sur la nécessité d’élargir l’espace européen à l’espace politique européen de liberté, de sécurité et de justice dans l’idée d’en faire un espace non pas protectionniste, mais protégé de la spéculation financière, du risque sanitaire et environnemental. La sphère économique tend à échapper au pouvoir politique, alors que celui-ci est resté aux mains des États et des institutions européennes. A un moment donné, les États finiront par se rendre compte qu’ils n’ont plus que des pouvoirs réduits et qu’ils doivent faire face à des problèmes d’une très grande gravité. C’est pourquoi le pouvoir politique doit reprendre, sous sa sphère d’influence, le champ économique. Ce qui est vrai pour l’économie, l’est également pour le juridique, dont il n’est parfois qu’un instrument. Il en va d’une croissance qualitative de l’économie. Si la financiarisation est influencée par la prévalence actionnariale, elle l’est également à travers le mode opératoire des grands groupes impactant tant le droit des sociétés que les procédures d’insolvabilité, le droit économique, la concurrence, la fiscalité au risque d’accentuer le caractère spéculatif de l’économie visible à travers certains indicateurs macro-économiques en dehors de tout problème inhérent aux distributions directes et indirectes. Sur fond de Brexit et de crise sanitaire, l’ingérence, voire l’emprise sur l’économie de toutes sortes d’investisseurs et gestionnaires d’actifs se manifestent non seulement par des exigences de rendements, mais impactent juridiquement en retour la gouvernance d’entreprise. Nombre d’entreprises en situation de fragilité de trésorerie risquent d’être exposées à ces fonds qui, par les masses énormes de liquidités qu’ils dégagent, sont susceptibles, en toute opacité, outre leur nature potentiellement criminogène, d’induire une perte de souveraineté économique et dès lors politique pour l’Europe.(France Lévy, Auteur)
