Wettbewerbspolitik im institutionellen Wandel am Beispiel USA und Europa
Die Wettbewerbspolitik stellt eine gesellschaftlich vereinbarte Restriktion für einzelwir tschaftliches Handeln dar. Kooperationen und Zusammenschlüsse werden von Unternehmen immer häufiger als organisatorische Reaktion auf die wirtschaftlichen, technischen und regulativen Rahmenbedingungen gewählt. Dabei verlieren nationale Grenzen ihre Bedeutung für wirtschaftliche Entscheidungen. Die Ausgestaltung der Wettbewerbspolitik und die zuständige Behörde werden bei grenzüberschreitenden Kooperationen und Fusionen zu wichtigen Faktoren, die die Entscheidungen beeinflussen. Unsicherheit im Zusammenhang mit der wettbewerbsrechtlichen Einschätzung kann adäquate Organisationen verhindern oder bestimmte Ausgestaltungen nahe legen. Bemühungen um eine internationale Koordination der Wettbewerbspolitik sind seit langem im Gange, dennoch sind die Fortschritte vorerst bescheiden geblieben. Dies ist nicht überraschend, wenn die politökonomische Einbindung in die jeweiligen Wirtschaftsräume und Gesellschaftssysteme berücksichtigt wird. Die Wettbewerbspolitik hat sich nicht losgelöst von den informellen Institutionen einer Gesellschaft und immer im Wege des politischen Kompromisses unterschiedlicher Interessengruppen entwickelt. Diesen Entwicklungspfad spiegeln die konkreten Regeln wider. Aktuell zeichnet sich eine Konvergenz der Inhalte und der Auslegung der Wettbewerbspolitik in den USA und in der Europäischen Union ab, was für internationale Fusionen und Kooperationen mehr Sicherheit bedeuten wird und daher zu begrüßen ist. Andrea Neugebauer zeichnet im IfG-Arbeitspapier Nr. 36 nach, wie sich die Wettbewerbspolitik der USA sowie der EU von ihren Anfängen bis heute entwickelt hat. Sie analysiert im Untersuchungsdesign der Theorie des institutionellen Wandels die Entwicklungsdeterminanten. Auf dieser Basis kann sie die aktuelle Konvergenz ebenso erklären wie sie die Voraussetzungen für eine Intensivierung der internationalen Koordination der Wettbewerbsbehörden offen legen kann. Es handelt sich um eine Arbeit aus dem IfG-Cluster Unternehmenskooperationen, die hiermit zur Diskussion gestellt wird.
