Vorteile für Altaktionäre durch Bezugsrechtsausschluss?
Abstract Die traditionelle Sichtweise, nach der Bezugsrechte die Vermögensposition von Altaktionären sichern, wird zunehmend bestritten. Der deutsche Gesetzgeber hat sich - so der Verfasser - durch angebliche Bezugsrechtsnachteile veranlasst gesehen, mit der Einfügung von Satz 4 in §186 Abs. 3 AktG einen Bezugsrechtsausschluss zu erleichtern, obwohl die ins Feld geführten Bezugsrechtsnachteile in hohem Maße auf reinen Behauptungen oder relativ vordergründigen Argumenten beruhen. Der jüngste Versuch, die Lücke bei der Fundierung von Vorteilen eines Bezugsrechtsausschlusses zu schließen, stützt sich auf mögliche Interessendivergenzen zwischen Altaktionären und Managern im Investitionsbereich einer Unternehmung.
